1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Sheep Meadow Road Games Oy (Business ID: 3429962-9) ("Company", "we", "us", or "our"), concerning your access to and use of the OpenIssue service available at openissue.io (the "Service").

The Service is primarily designed for businesses and professionals who wish to create and manage public issue boards. Individuals may also register to submit issues and interact with businesses through the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

OpenIssue is a Software as a Service (SaaS) platform that enables users to create customizable public issue boards that integrate with Linear. The Service allows you to:

• Sync Linear issues to public boards
• Customize the appearance and branding of public boards
• Share development progress with your community
• Manage multiple boards (depending on your subscription tier)
• Accept issue submissions from the public

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account and authentication methods
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Authentication: We support email and password registration, one-time passwords (OTP) sent to your email, and OAuth authentication through third-party providers (Google, GitHub, or Linear). You are responsible for maintaining the security of your credentials and access to your email account.

3.2 Account Eligibility

You must be at least 16 years old to use the Service. If you are using the Service on behalf of a business entity, you represent and warrant that you have the legal authority to bind that entity to these Terms.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscription Plans and Payments

4.1 Subscription Tiers

We offer multiple subscription tiers:

• Pro Tier: Up to 10 boards with full customization features (€29/month)
• Enterprise Tier: Custom solutions with tailored pricing

4.2 Free Trial

Pro tier includes a 14-day free trial. You will not be charged until the trial period ends. You may cancel at any time during the trial without charge.

4.3 Payment Terms

• Subscriptions are billed monthly in advance
• All fees are in USD unless otherwise stated
• Payment is processed through Stripe
• You authorize us to charge your payment method on a recurring basis
• All fees are non-refundable except as required by law

4.4 Price Changes

We reserve the right to modify subscription prices. You will receive at least 30 days' notice of any price increases. Continued use after the price change constitutes acceptance.

4.5 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period. No partial refunds are provided for unused time.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit harmful code, viruses, or malware
• Engage in unauthorized access or security breaches
• Harass, abuse, or harm other users
• Distribute spam or unsolicited communications
• Impersonate others or provide false information
• Scrape, mine, or extract data using automated means
• Interfere with or disrupt the Service
• Use the Service for any illegal or unauthorized purpose

6. User Content

6.1 Your Responsibilities

You retain ownership of all content you create or upload to the Service ("User Content"). You are solely responsible for your User Content and the consequences of posting it.

6.2 License to OpenIssue

By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving the Service.

6.3 Public Content

Content displayed on your public boards is visible to anyone with access to those boards. You are responsible for ensuring you have the right to make such content public.

6.4 Content Removal

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, without prior notice.

7. Intellectual Property

7.1 OpenIssue Property

The Service, including its design, features, text, graphics, logos, and software, is owned by Sheep Meadow Road Games Oy and protected by copyright and other intellectual property laws.

7.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

7.3 Feedback

By providing feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such feedback into the Service without any obligation or compensation to you.

8. Third-Party Integrations

The Service integrates with third-party services, including Linear. Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for:

• The availability or functionality of third-party services
• Data security or practices of third-party services
• Changes to third-party APIs or integrations
• Any damage resulting from your use of third-party services

9. Service Availability and Modifications

9.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free access. We may perform maintenance, updates, or modifications that temporarily affect availability.

9.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuance.

The above limitations do not apply to liability arising from intentional misconduct or gross negligence, or to the extent prohibited by mandatory applicable law. In jurisdictions that do not allow the exclusion of certain warranties or limitation of liability, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sheep Meadow Road Games Oy and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

13. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

We comply with the General Data Protection Regulation (GDPR) and Finnish data protection laws. You have rights regarding your personal data as described in our Privacy Policy.

14. Governing Law and Disputes

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the jurisdiction of the competent courts in Finland.

14.3 Mandatory Law

Nothing in these Terms shall limit any rights you may have under mandatory applicable law that cannot be waived or limited by contract.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sheep Meadow Road Games Oy regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, or service disruptions.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification for significant changes

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.
